Agreement to Terms

Welcome to Right AI ("we," "our," or "us"). By accessing or using our website at https://rightai.io/ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

Important: Please read these Terms carefully before using our Service. By creating an account or using any features of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Service Description

Right AI is an AI-powered video and image generation platform that allows users to create visual content using artificial intelligence technology. Our Service includes:

• AI Video Generation: Create videos from text prompts using advanced AI models
• AI Image Generation: Generate images from text descriptions and uploaded reference images
• Credit-Based System: Use credits to access generation features
• Subscription Plans: Choose from Free, Basic, Pro, or Premium plans
• One-Time Credit Packs: Purchase additional credits as needed

The Service is operated by an individual developer based in Sichuan Province, China.

2. Eligibility

To use our Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

We do not knowingly collect information from or direct any of our content to children under 18. If you are under 18, you may not use the Service.

3. Account Registration

3.1 Creating an Account

You may create an account using:

• Email and Password: Provide a valid email address and create a secure password
• Google OAuth: Authenticate using your Google account

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use at contact@rightai.io
• Providing accurate, current, and complete information
• Updating your information to keep it accurate and current

3.3 Account Security

You agree to:

• Use a strong, unique password
• Not share your account with others
• Not use another user's account without permission
• Enable two-factor authentication if available

We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription Plans and Pricing

4.1 Available Plans

We offer the following subscription plans:

You may also purchase credits without a subscription:

• 200 Credits Pack: $5.00 (one-time purchase)

4.3 Credit Grant Schedule

Monthly Subscriptions: Credits are granted immediately upon purchase or renewal.

Annual Subscriptions: Credits are granted in monthly installments:

• Initial Grant: First month's credits immediately upon purchase
• Monthly Installments: Remaining credits distributed monthly over 12 months
• Example: Basic Annual (6,000 credits) = 500 credits granted each month for 12 months

5. Credits System

5.1 How Credits Work

• Credits are Required: All AI generation features require credits
• Credit Consumption: Credits are deducted based on the generation type and quality settings (see prompts on generation pages for specific costs)
• Non-Refundable: Credits cannot be refunded, exchanged for cash, or transferred to other accounts
• Non-Expiring (with Active Subscription): Credits do not expire while your subscription is active
• One-Time Pack Credits: Credits from one-time packs remain valid for the lifetime of your account

5.2 Credit Expiration

Subscription Credits:

• If you cancel or downgrade your subscription, unused credits expire at the end of the current billing period
• Free plan credits reset monthly (unused credits do not roll over)

One-Time Pack Credits:

• Do not expire as long as your account remains active
• Will be lost if you permanently delete your account

5.3 Credit Usage Priority

When you have credits from multiple sources, they are used in this order:

1. Expiring subscription credits (oldest first)
2. One-time pack credits
3. Current subscription credits

6. Payment Terms

6.1 Payment Processing

• All payments are processed through Creem, our third-party payment provider
• We accept major credit cards, debit cards, and other payment methods supported by Creem
• You agree to provide current, complete, and accurate payment information
• We do not store your complete credit card details

6.2 Recurring Billing

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Billing Dates:

• Your billing date is the date you initially subscribed
• Renewals occur on the same day of each month (monthly plans) or year (annual plans)

Price Changes: We reserve the right to change subscription prices with 30 days' advance notice. Price changes do not affect current billing periods.

6.3 Taxes

You are responsible for any applicable taxes (sales tax, VAT, GST, etc.) based on your location. Taxes may be added to your invoice as required by law.

6.4 Failed Payments

If a payment fails:

• We will attempt to process payment again
• Your account may be suspended until payment is successful
• After multiple failed attempts, your subscription may be cancelled
• You remain responsible for any unpaid amounts

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting contact@rightai.io.

Effect of Cancellation:

• Your subscription remains active until the end of the current billing period
• You retain access to paid features until the billing period ends
• Unused credits expire at the end of the billing period
• No refund for the current billing period (except as outlined in our Refund Policy)

7.2 Refund Policy Summary

Subscription Refunds:

• Available within 3 days of purchase or renewal
• Only if you have used 20 credits or fewer
• Processing fee of $2.00 or 10% (whichever is greater) will be deducted
• Refund issued to original payment method

One-Time Credit Packs:

• Not refundable under any circumstances
• Credits are immediately delivered and considered used

Annual Subscriptions:

• Within 30 days: Pro-rated refund available (minus used months, used credits, and processing fee)
• After 30 days: Not refundable

Exceptions:

• Technical issues preventing service access for more than 48 hours
• Billing errors or duplicate charges
• Service misrepresentation

8. Acceptable Use Policy

8.1 Prohibited Content

You agree NOT to use our Service to generate, create, or produce any content that:

1. Sexually Explicit or Pornographic Content

   • Nudity, sexual acts, or NSFW (Not Safe For Work) content
   • Sexually suggestive content involving minors (real or AI-generated)

2. Intellectual Property Violations

   • Unauthorized use of copyrighted works, trademarks, or logos
   • Infringement on the rights of others
   • Use of celebrity likenesses or public figures without consent

3. Illegal Content

   • Content that violates any local, state, national, or international law
   • Content promoting illegal activities (drug use, human trafficking, etc.)

4. Deepfakes and Deceptive Content

   • Misleading impersonations without explicit consent
   • Fake news or misinformation intended to deceive
   • Manipulated content that could harm individuals or organizations

5. Child Exploitation

   • Any content depicting minors in inappropriate contexts
   • Child sexual abuse material (CSAM)

6. Hateful or Discriminatory Content

   • Content promoting hate speech, racism, sexism, or discrimination
   • Harassment, bullying, or threatening content
   • Content inciting violence against individuals or groups

7. Violence and Terrorism

   • Graphic violence or gore
   • Content promoting terrorism or extremism
   • Instructions for creating weapons or explosives

8. Fraud and Scams

   • Content used for phishing, scams, or fraudulent schemes
   • Counterfeit documents or identification
   • Content intended to deceive for financial gain

8.2 Additional Prohibited Activities

You may not:

• Use the Service to harm, threaten, or harass others
• Attempt to reverse engineer, decompile, or extract the AI models
• Use automated tools (bots, scrapers) without our written permission
• Resell, redistribute, or sublicense the Service or generated content to others as a competing service
• Interfere with or disrupt the Service or servers
• Bypass any security measures or access restrictions
• Create multiple accounts to abuse free credits or promotions
• Use the Service to generate excessive amounts of content for resale

8.3 Enforcement and Consequences

If you violate this Acceptable Use Policy:

1. Immediate Account Suspension: Your account will be suspended without notice
2. Credit Forfeiture: All credits (subscription and purchased) will be forfeited without refund
3. Permanent Ban: Your account may be permanently terminated
4. Legal Action: We reserve the right to:
   • Report violations to law enforcement authorities
   • Pursue legal remedies for damages
   • Cooperate with investigations into illegal activity
5. No Refunds: Violations result in immediate forfeiture of all payments and credits

We have zero tolerance for prohibited content, especially child exploitation, illegal content, and intellectual property violations.

8.4 Content Monitoring

While we do not proactively monitor all user-generated content, we reserve the right to:

• Review content flagged by automated systems or users
• Remove content that violates these Terms
• Disable accounts engaged in prohibited activities
• Use technology to detect and prevent prohibited content generation

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by Right AI and protected by international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks, logos, or branding without permission
• Remove any copyright or proprietary notices

9.2 Your Content Ownership

Your Inputs:

• You retain full ownership of all text prompts, uploaded images, and other inputs you provide
• You represent and warrant that you have the right to use all inputs you provide

AI-Generated Content:

• You own the rights to content generated for you through the Service
• You may use generated content for personal or commercial purposes
• You are responsible for ensuring your use of generated content complies with applicable laws

9.3 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Process your inputs to generate requested content
• Store your inputs and generated content as necessary to provide the Service
• Display your generated content in anonymized galleries or promotional materials (only with your explicit opt-in consent)

Important: We do NOT use your prompts, uploaded images, or generated content to train AI models.

9.4 Similar Outputs

Due to the nature of AI generation:

• Other users may generate similar or identical content using similar prompts
• You acknowledge that AI outputs are not guaranteed to be unique
• We are not responsible for similarities between different users' generated content

10. AI Service Limitations and Disclaimers

10.1 AI-Generated Content Quality

AI-generated content may:

• Contain errors, inaccuracies, or artifacts
• Not precisely match your expectations or prompts
• Vary in quality based on prompt complexity and AI model capabilities
• Include unintended elements or characteristics

We do not guarantee:

• Specific quality or accuracy of generated content
• That content will match your exact specifications
• That generation will always succeed without errors

10.2 Service Availability

We strive to provide reliable service, but we do not guarantee:

• Uninterrupted or error-free operation
• That the Service will be available 24/7
• That all features will work at all times
• Specific generation times or performance

Factors affecting availability include:

• Scheduled maintenance
• Technical issues with AI providers (Google AI, OpenAI, Volcano Engine)
• High user demand
• Force majeure events

10.3 Credits and Failed Generations

Credit Refund for Failed Generations:

• If a generation fails due to technical errors on our side, credits may be refunded
• Credits are NOT refunded if:
  • Generation fails due to prohibited content in your prompt
  • You are unsatisfied with the quality of generated content
  • The output does not meet your subjective expectations

Contact contact@rightai.io within 24 hours of a failed generation to request credit restoration.

11. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, available at https://rightai.io/privacy.

Key privacy points:

• We collect personal information (email, name, payment details)
• Your prompts and uploaded images are temporarily sent to AI providers for processing
• We do not use your content to train AI models
• Generated content is retained based on your plan (7 days for Free, 30 days for paid plans)
• You have rights to access, correct, and delete your data

12. Disclaimers and Limitations of Liability

12.1 Service "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION

12.2 No Liability for Content

WE ARE NOT RESPONSIBLE FOR:

• The accuracy, quality, or legality of user-generated content
• How you use AI-generated content
• Consequences arising from your use of generated content
• Third-party claims related to your generated content
• Intellectual property disputes arising from your inputs

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

1. No Indirect Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

   • Lost profits or revenue
   • Lost data or content
   • Business interruption
   • Loss of goodwill

2. Maximum Liability: Our total liability to you for all claims related to the Service is limited to the greater of:

   • The amount you paid us in the 12 months before the claim, or
   • $100 USD

3. Exclusions: Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

12.4 AI Provider Limitations

We rely on third-party AI providers (Google AI, OpenAI, Volcano Engine). We are not responsible for:

• Failures or errors in AI processing
• Changes to AI provider services or availability
• Decisions made by AI providers to restrict or modify their services

13. Indemnification

You agree to indemnify, defend, and hold harmless Right AI, its operator, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

1. Your use or misuse of the Service
2. Your violation of these Terms
3. Your violation of any third-party rights (intellectual property, privacy, publicity)
4. Content you generate or input
5. Your violation of applicable laws or regulations

This indemnification obligation survives termination of these Terms.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through account settings, or
• Contacting us at contact@rightai.io

Upon termination:

• Your subscription will be cancelled (no refund for current period)
• Your data will be deleted according to our Privacy Policy
• You lose access to all generated content and credits

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms (especially the Acceptable Use Policy)
• You engage in fraudulent or illegal activity
• You abuse the Service or harm other users
• Your account is inactive for over 2 years
• Required by law or legal process

14.3 Effect of Termination

Upon termination:

• All licenses granted to you terminate immediately
• You must stop using the Service
• We may delete your data (subject to legal retention requirements)
• Provisions that should survive termination remain in effect (indemnification, limitations of liability, governing law)

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

• Immediately upon posting for non-material changes
• 30 days after notice for material changes affecting your rights or obligations

Notification: We will notify you of material changes via:

• Email to your registered email address
• Prominent notice on the Service
• Update to the "Last Updated" date at the top of these Terms

Acceptance: Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the Service and cancel your account.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. This choice of law is based on the operator's location in Sichuan Province, China.

16.2 Dispute Resolution

Informal Resolution: Before filing a formal dispute, you agree to contact us at contact@rightai.io to attempt to resolve the issue informally. We will attempt to resolve disputes in good faith within 30 days.

Arbitration or Litigation: If informal resolution fails:

• Disputes may be submitted to binding arbitration or litigation
• Venue for legal proceedings is Sichuan Province, China, or as otherwise required by applicable law
• Each party bears its own costs unless otherwise awarded by the arbiter or court

16.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes individually and not as part of a class action, consolidated action, or representative action.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Right AI regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.

17.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.

17.6 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

17.7 Relationship

No agency, partnership, joint venture, or employment relationship is created between you and Right AI by these Terms or use of the Service.
